Referral Rewards Programme – Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern participation in the Charles & Dean Rewards Programme (“Programme”) operated by Charles and Dean Limited (“we”, “us”, “our”). By participating, you agree to be bound by these Terms.

2. Eligibility 

 2.1 The Programme is open to individuals or businesses aged 18 or over.
2.2 You must have an active account with us to participate.
2.3 We reserve the right to refuse or revoke participation at our sole discretion. 

3. Definitions

• “Referrer”: An Introducer referring a new client to us.
• “Referred Client”: A new client introduced via the Programme.
• “Valid Referral”: A referral that meets all criteria in Section 4.
• “Points”: Non-cash promotional credits awarded under the Programme.
• “Rewards”: Goods, services, or experiences redeemable using Points. 

4. Valid Referrals

A referral will only qualify as a Valid Referral if:

4.1 The Referred Client is genuinely new and has no prior relationship with us (other than a previous introduction by the same supplier / partner making the subsequent referral).
4.2 The referral is submitted through an approved referral method.
4.3 The Referred Client completes all required onboarding steps.
4.4 The Referred Client completes any qualifying action (e.g. purchase, contract execution, or payment).
4.5 The referral complies with all applicable laws and these Terms.

We reserve the right to determine, in our sole discretion, whether a referral is valid.

5. Earning Points

5.1 Points will be awarded only after a referral is validated.
5.2 Points may be subject to delays (e.g. validation periods, payment clearance).
5.3 We may impose limits on:

• Points per referral
• Total Points earned
• Points earned within a specific timeframe

5.4 Points:

• Have no cash value
• Are non-transferable
• Cannot be exchanged for cash or credit
• Cannot be sold or assigned

6. Prohibited Content

You agree not to:

6.1 Refer yourself or create duplicate or fake accounts.
6.2 Participate in referral rings or artificial schemes.
6.3 Mislead, spam, or harass potential referrals.
6.4 Use paid advertising, impersonation, or false claims to generate referrals.
6.5 Breach any applicable laws, regulations, or third-party rights.

Any breach may result in suspension, termination, and forfeiture of Points.

7. Rewards and Redemption

7.1 Points may be redeemed for Rewards and items made available on the platform.
7.2 Rewards are provided by third-party suppliers.
7.3 We do not guarantee:

• Availability of specific Rewards
• Quality or suitability of Rewards
• Continued availability of any supplier

7.4 We reserve the right to allow the reward supplier to:

• Substitute Rewards with alternatives of similar value
• Modify redemption requirements

7.5 Once redeemed, Rewards cannot be exchanged, refunded, or returned unless required by law.

8. Expiry of Points

8.1 Points may be subject to expiry, but all reasonable efforts will be made to notify you of this.
8.2 Accounts inactive for extended periods may have Points forfeited.
8.3 Expired Points cannot be reinstated. 

9. Changes to the Programme

9.1 We may modify, suspend, or terminate the Programme at any time.
9.2 This includes changes to:

• Points values
• Earning criteria
• Available Rewards

9.3 Where changes materially affect you, we will provide reasonable notice where possible.

10. Fraud, Monitoring, and Enforcement

10.1 We reserve the right to:

• Audit accounts and referral activity
• Request supporting documentation
• Delay or withhold Points pending investigation

10.2 If fraud, abuse, or suspicious activity is detected, we may:

• Cancel Points
• Reverse Rewards
• Suspend or terminate accounts

11. Tax

11.1 You are responsible for any tax liabilities arising from participation.
11.2 We may report rewards or earnings to tax authorities where required by law. 

12. Data Protection

12.1 You must ensure you have permission to share any third-party personal data.
12.2 You must not submit personal data unlawfully.
12.3 Personal data will be processed in accordance with our Privacy Policy. 

13. Liability

13.1 To the fullest extent permitted by law, we are not liable for:

• Indirect or consequential losses
• Loss arising from third-party Rewards
• Delays, cancellations, or failures by suppliers
• Insurance costs, or additional liability waivers required by the provider of the product, gift or experience.

13.2 Nothing in these Terms excludes liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law

14. Termination

14.1 We may terminate or suspend your participation at any time.
14.2 Upon termination:

• All unused Points may be forfeited
• Access to the Programme may be revoked

15. Intellectual Property and Brand Use

15.1 You may not use our name, branding, or materials without prior written consent.
15.2 You must not represent yourself as acting on our behalf. 

16. Geographic Restrictions

16.1 The Programme may be restricted or unavailable in certain jurisdictions.
16.2 You are responsible for ensuring your participation is lawful in your location. 

17. General

17.1 These Terms constitute the entire agreement relating to the Programme.
17.2 If any provision is found unenforceable, the remaining provisions remain in effect.
17.3 These Terms are governed by the laws of England and Wales.
17.4 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
